These Terms of Service ("Terms") govern your use of the MingoBid website and mobile apps (the "Service"). By creating an account or placing a bid you agree to these Terms. If you do not agree, do not use the Service.

1. Who can bid

You must be at least 18 years old and able to enter a binding contract. One account per person. You are responsible for activity on your account and for keeping your login secure. We may refuse, suspend, or close any account at our discretion, including for conduct that harms the Service or other bidders.

2. How bidding works

Bids are placed in whole dollars. When you bid, you may set a maximum ("max bid"): our system bids on your behalf by the minimum increment needed to keep you in the lead, never exceeding your max (proxy bidding). Any bid placed in the final moments of a lot extends that lot's close by 2 minutes ("soft close") so bidding wars finish fairly. The highest bidder when the clock runs out wins.

Every bid is a binding offer to purchase. Bids cannot be retracted. You are responsible for the amounts you bid — including bids above an item's retail price, which the Service warns you about but does not prevent.

3. Fees, payment, and failed payments

Winning bids are charged a 15% buyer's premium, a $2.00 per-item fee, and applicable Florida sales tax. Your wins for each day accumulate on a single invoice, and your card on file is charged automatically at the end of the settlement cycle. Any store credit on your account is applied first.

If a charge fails we retry over the following days. After repeated failures the invoice is forfeited: you lose the items, a strike is recorded on your account, and repeated strikes lead to suspension. Chargebacks on valid auction purchases are treated as a violation of these Terms and result in permanent suspension.

4. Promotional credits

Promotional credits (including the $10 launch credit) are bidding credits, not cash: they have no cash value, are non-transferable, are limited to one per person and per household, apply automatically against your invoices, and expire 60 days after account activation unless otherwise stated. Credits obtained through duplicate accounts, fake referrals, or other manipulation are void, and associated accounts may be closed.

5. Condition of goods — all sales final

MingoBid sells customer returns, overstock, and liquidation merchandise. Everything is sold as-is, where-is, with all faults and no warranty of any kind (express or implied, including merchantability or fitness for a particular purpose). Items are not tested unless a listing says otherwise; packaging may be damaged; parts may be missing.

Condition grades and photographs are provided in good faith to help you bid. Where a manufacturer stock photo is shown, it is for reference only — the photos taken of the actual item, and the condition grade, control what you are buying. Brand names and stock imagery belong to their respective owners; MingoBid is an independent reseller and is not affiliated with, endorsed, or sponsored by any brand whose products it sells.

All sales are final. No returns, refunds, or exchanges, except where required by law or where we, at our sole discretion, offer an accommodation.

6. Pickup and abandonment

Pickup is by scheduled appointment at our Sarasota location. Bring government photo ID matching the name on your account. Orders must be picked up within 7 days of payment; items not picked up in that window are considered abandoned and may be resold, donated, or disposed of with no refund. Inspect your items at pickup — claims of missing or incorrect items cannot be verified or honored after your order leaves the premises.

7. Shipping

Select lots marked "Shippable" can be shipped within the continental United States for the fee shown. Risk of loss passes to the carrier on handoff; shipping claims are limited to the carrier's process. You are responsible for the accuracy of your shipping address.

8. Tax exemption

Resellers holding a valid Florida Annual Resale Certificate may register their exemption in their account profile before purchase. Exemption applies to future invoices only and must be supported by a certificate we can verify.

9. Prohibited conduct

No bid manipulation of any kind: no shill bidding, no bidding through multiple or coordinated accounts, no interference with other bidders, no automated bidding tools or scraping, and no use of the Service for any unlawful purpose. We may cancel bids or sales affected by manipulation, error, or fraud, including after a lot closes but before payment completes.

10. Communications

By creating an account you consent to receive transactional messages (outbid, win, payment, and pickup notices) by push notification, email, and — if you provide a number — SMS. You can disable push in your device settings and unsubscribe from marketing email at any time; transactional notices are part of how the auction operates.

11. Disclaimers and limitation of liability

The Service is provided "as is" and "as available." We do not guarantee uninterrupted or error-free operation, and we may correct errors in listings, prices, or results. To the fullest extent permitted by law, MingoBid's total liability arising out of any item or your use of the Service is limited to the amount you paid for the item at issue, and we are not liable for indirect, incidental, or consequential damages. Nothing in these Terms limits liability that cannot be limited under Florida law.

12. Disputes and governing law

These Terms are governed by Florida law. Any dispute will be resolved in the state or federal courts located in Sarasota County, Florida, and you consent to their jurisdiction. Before filing, you agree to contact us at hello@mingobid.com and give us 30 days to resolve the issue informally.

13. Changes

We may update these Terms from time to time; the "Effective" date above reflects the latest version. Material changes will be announced in the app or by email. Continuing to bid after changes take effect means you accept them. If any provision is found unenforceable, the rest remain in effect.
